Terms of Service

KAHAL GROUP LLC

These Terms of Service ("Terms") govern your access to and use of the KAHAL mobile application and website at kahal.app (collectively, the "Platform") operated by KAHAL GROUP LLC ("KAHAL," "we," "our," or "us"). Please read these Terms carefully before using the Platform.

By downloading, installing, creating an account, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

KAHAL has zero tolerance for objectionable content or abusive users. We are committed to maintaining a safe, respectful community environment for all users.

1. Eligibility

You must be at least 13 years of age to use the Platform. The Platform is not directed to children under the age of 13 and we do not knowingly collect personal information from children under 13.

By using the Platform, you represent and warrant that:

•You are at least 13 years old

•You have the legal capacity to enter into a binding agreement

•You are not prohibited from using the Platform under applicable law

•You are not located in a country subject to a U.S. government embargo, and you are not on any U.S. government list of prohibited or restricted parties

•All information you provide is accurate and truthful

If you are between 13 and 18 years old, you may use the Platform only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

2. Account Registration

To access most features of the Platform, you must create an account using a valid phone number, email address, or supported third-party authentication (Google Sign-In, Sign in with Apple). You agree to:

•Provide accurate, current, and complete information during registration

•Maintain and promptly update your account information to keep it accurate

•Keep your login credentials confidential and not share them with anyone

•Choose a username that does not impersonate others, contain profanity, or violate our Community Standards

•Notify us immediately at support@kahal.app if you suspect unauthorized access to your account

•Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate your account if you provide false information or violate these Terms. You may not create more than one account per person, nor create an account on behalf of someone else without their explicit authorization. Usernames are subject to a 30-day change cooldown period.

3. Community Standards and Acceptable Use

KAHAL is a community platform for Jewish communities. KAHAL has zero tolerance for objectionable content or abusive users. You agree to use the Platform respectfully and in a manner consistent with its purpose. You must not:

•Post, share, or transmit any content that is unlawful, defamatory, harassing, abusive, threatening, hateful, discriminatory, obscene, sexually explicit, or otherwise objectionable

•Engage in antisemitism, racism, hate speech, or any form of discrimination based on religion, ethnicity, gender, sexual orientation, disability, or any other protected characteristic

•Impersonate any person or entity, or misrepresent your affiliation with any person or entity

•Post spam, unsolicited commercial messages, or chain letters

•Collect or harvest any personal information of other users without their consent

•Use the Platform for any commercial solicitation without our express written permission, except through designated features (business listings, vendor marketplace)

•Upload or transmit viruses, malware, or any other harmful code

•Attempt to gain unauthorized access to any part of the Platform or its infrastructure

•Use the Platform in any way that could disable, overburden, damage, or impair its servers

•Scrape, crawl, or otherwise extract data from the Platform without written permission

•Circumvent, disable, or interfere with security-related features of the Platform

•Violate any applicable local, state, national, or international law or regulation

Reporting and Blocking

All user-generated content on the Platform includes a reporting mechanism. You may report content that violates these Community Standards by using the report button available on all content types. We review reported content and take appropriate action, including content removal and user suspension, typically within 24 hours. You may also block any user to prevent them from contacting you or viewing your content.

We reserve the right to remove any content and suspend or terminate any account that violates these standards, at our sole discretion and without prior notice. Content that receives multiple community reports may be automatically hidden pending review.

4. User-Generated Content

Your Content

You retain ownership of the content you create and post on KAHAL, including event listings, group posts, bulletin posts, reviews, messages, photos, invitation designs, and comments ("User Content").

License to KAHAL

By posting User Content, you grant KAHAL a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, and adapt your User Content solely for the purpose of operating and improving the Platform. This license ends when you delete the content or close your account, subject to any residual copies in backups or as required for legal compliance.

Your Representations

You represent and warrant that:

•You own or have the necessary rights to post the User Content

•Your User Content does not infringe any third party's intellectual property, privacy, or other rights

•Your User Content complies with these Terms and applicable law

•Photos you upload do not contain illegal content or violate the privacy rights of any depicted individuals

Content Moderation

We reserve the right (but not the obligation) to monitor, review, edit, or remove User Content at our discretion. We are not responsible for any User Content posted by users. Content that is reported by multiple users may be automatically hidden from public view pending manual review by our moderation team.

5. Community Services

KAHAL provides a platform for community members to share rides, post meals, post lost-and-found items, and connect with local services ("Community Features"). IMPORTANT LIMITATIONS:

•KAHAL is a community connection platform only. We are not a service provider, agency, or employer.

•KAHAL does not conduct background checks, reference checks, criminal history checks, identity verification, or any screening of users listed on the Platform.

•KAHAL does not endorse, recommend, or guarantee any user, service, or listing on the Platform.

•KAHAL is not a party to any agreement, arrangement, or transaction between community members.

•Any arrangement is solely between the users involved. You are responsible for evaluating the suitability, safety, and trustworthiness of any person you interact with through the Platform.

•KAHAL is not responsible for any injury, damage, loss, theft, or dispute arising out of any arrangement made through the Platform, including but not limited to ride shares, meal arrangements, lost-and-found items, or any other interaction.

By using Community Features, you acknowledge these limitations and agree to conduct your own due diligence.

6. Babysitter and Childcare Features

KAHAL allows community members to register as available babysitters, post babysitting requests, view babysitter profiles, and submit reviews. CRITICAL LIMITATIONS:

•KAHAL IS NOT A CHILDCARE AGENCY, EMPLOYMENT AGENCY, OR PLACEMENT SERVICE. We merely provide a platform for community members to connect.

•KAHAL DOES NOT CONDUCT BACKGROUND CHECKS, CRIMINAL HISTORY CHECKS, SEX OFFENDER REGISTRY CHECKS, REFERENCE CHECKS, OR ANY FORM OF SCREENING OR VERIFICATION on any babysitter, caregiver, or user listed on the Platform.

•KAHAL does not verify the identity, qualifications, certifications, training, experience, or suitability of any babysitter or caregiver.

•KAHAL does not endorse, recommend, or guarantee any babysitter or caregiver listed on the Platform.

•Reviews and ratings of babysitters are provided by other community members and represent their personal opinions only. KAHAL does not verify the accuracy of reviews.

•You are solely responsible for evaluating the qualifications, background, and suitability of any babysitter or caregiver before entrusting them with the care of your children.

•Any babysitting arrangement, including agreed rates and payment, is solely between the parties involved. KAHAL is not a party to any such arrangement.

•KAHAL IS NOT RESPONSIBLE FOR ANY INJURY, HARM, LOSS, DAMAGE, OR INCIDENT THAT OCCURS DURING OR AS A RESULT OF ANY BABYSITTING OR CHILDCARE ARRANGEMENT MADE THROUGH THE PLATFORM.

By using babysitter features, you expressly acknowledge and accept these limitations and assume all risk associated with any childcare arrangement.

7. Payment Features

KAHAL provides features that allow users to send gifts, donations, and payment requests ("Payment Features"). IMPORTANT LIMITATIONS:

•All payments made through KAHAL are final and non-refundable. Please verify the event and recipient before sending any payment.

•Payments are processed through Stripe, a third-party payment processor. KAHAL does not directly process, hold, or have access to your payment card details.

•KAHAL is not responsible for payments sent to the wrong recipient, or for any failed, disputed, or fraudulent payments.

•You are solely responsible for verifying the identity of the recipient and the legitimacy of the event before making a payment.

•Any payment dispute is solely between the users involved and/or Stripe. KAHAL does not mediate or resolve payment disputes.

•A platform fee may apply to certain transactions.

•Donations to synagogues and organizations are processed through Stripe Connect. Tax receipts, if applicable, are the responsibility of the receiving organization, not KAHAL.

•Group gift contributions are pooled and delivered to the event host or designated recipient. KAHAL is not responsible for how gift funds are ultimately used by the recipient.

By using Payment Features, you agree that KAHAL has no liability in connection with any payment transaction beyond its role as a platform facilitator. Your use of Stripe is governed by Stripe's Terms of Service and Privacy Policy.

8. Business Listings and Vendor Marketplace

Community members may list local businesses and register as vendors on the KAHAL vendor marketplace. By listing a business or registering as a vendor, you represent that:

•You have authorization to list the business or offer the services described

•All information provided is accurate and current

•You hold any licenses or permits required for your business or services

KAHAL does not verify the accuracy of business information, vendor credentials, licensing, insurance, or any claims made by listed businesses or vendors. KAHAL makes no warranty regarding any listed business or vendor. Reviews and ratings are the opinion of individual users and do not represent KAHAL's views or endorsements.

KAHAL is not a party to any transaction between you and any business or vendor found on the Platform, and is not responsible for the quality, safety, legality, or delivery of any goods or services.

9. Groups and Community Organizations

KAHAL allows users to create and join community groups ("Groups"). Group administrators are responsible for managing their groups, including moderating content and managing membership. KAHAL is not responsible for any content posted within Groups or any interaction between Group members.

Group fund features allow groups to collect contributions from members. KAHAL is not responsible for how group funds are managed or distributed by group administrators. Contributors should verify the legitimacy and purpose of any group fund before contributing.

10. Events, Hosting, and Simcha Cam

Event Hosting

Event hosts are responsible for the accuracy of their event information, guest management, and compliance with all applicable laws. KAHAL provides tools to assist with event management but is not responsible for the planning, execution, or outcome of any event.

Simcha Cam (Event Photography)

KAHAL provides a Simcha Cam feature that allows event guests to upload photos at events. By attending an event with Simcha Cam enabled, you acknowledge that:

•Other guests may photograph the event and upload photos that may include your likeness

•Photos uploaded to Simcha Cam are visible to other event guests and the event host

•The event host has sole discretion to approve, reject, or delete photos

•Simcha Cam allows guest uploads without requiring a KAHAL account. Guests are identified by a self-provided name stored locally on their device.

•KAHAL uses automated image processing (perceptual hashing) to detect and manage duplicate photo uploads

•Community members may flag photos they find inappropriate. Photos receiving multiple flags may be automatically hidden pending host review.

By uploading photos to Simcha Cam, you represent that you have the right to share those photos and that they do not violate any person's privacy rights or these Terms. You grant KAHAL and the event host a license to display, distribute, and store the photos as part of the event album.

Digital Invitations

KAHAL offers AI-assisted invitation design tools. Invitations you create are your User Content. KAHAL does not guarantee the accuracy of AI-generated invitation text and is not responsible for errors in invitations you send.

11. Synagogue (Shul) Features

KAHAL provides features for synagogues including membership management, bulletins, prayer times (zmanim), and donation collection. Synagogue administrators are responsible for the accuracy of their synagogue's information.

Donations to synagogues are processed through Stripe and are subject to the Payment Features terms in Section 7. KAHAL does not verify the tax-exempt status of any synagogue. Tax deductibility of donations and issuance of tax receipts are the sole responsibility of the receiving synagogue.

12. AI-Powered Features

KAHAL includes AI-powered features including a chat assistant and invitation text generation, powered by Google Gemini ("Kahal AI"). By using these features, you acknowledge and agree that:

•Your messages and content are transmitted to Google's Gemini API, a third-party artificial intelligence service, for processing. You expressly consent to this data transmission.

•AI-generated responses are for informational and creative assistance purposes only.

•AI responses are NOT professional, legal, religious, medical, financial, or any other form of expert advice.

•Do not share sensitive personal information, passwords, or financial details with the AI.

•AI responses may contain errors, inaccuracies, or outdated information. Always verify important information from authoritative sources.

•KAHAL does not control or guarantee the output of the AI model.

•Daily usage limits apply to AI features.

KAHAL is not responsible for any decisions made or actions taken based on AI-generated content. Google's Terms of Service and Privacy Policy govern Google's processing of data sent to the Gemini API.

13. Device Permissions

Certain features of the Platform require access to device capabilities. You may be asked to grant the following permissions:

•Camera: Required for Simcha Cam photo capture and profile photo uploads.

•Photo Library: Required for selecting photos from your device for upload.

•Contacts: Optional. Used only to import guest names when creating events. Contact data is processed locally and not stored on our servers beyond the guest names you choose to import.

•Calendar: Optional. Used to add events to your device calendar. Calendar data is processed locally.

•Notifications: Optional. Used to deliver push notifications about community activity, messages, and event updates.

You may revoke any permission at any time through your device settings. Revoking permissions may limit your ability to use certain features.

14. Guest and Non-User Access

Certain features of the Platform are accessible without creating an account, including the public gift page, Simcha Cam, event share pages, and vendor marketplace. Non-authenticated users ("Guests") are bound by these Terms when accessing any part of the Platform. Guests who upload photos or make payments provide limited personal information (name, email) that is governed by our Privacy Policy.

15. Intellectual Property

The Platform, including its design, logo, graphics, text, and underlying code ("KAHAL Content"), is owned by KAHAL GROUP LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes on devices you own or control.

You may not:

•Copy, modify, distribute, sell, or lease any part of the Platform or KAHAL Content

•Reverse engineer or attempt to extract the source code of the Platform

•Remove any copyright or proprietary notices from the Platform

"KAHAL" and the KAHAL logo are trademarks of KAHAL GROUP LLC. You may not use our trademarks without our prior written consent.

16. Third-Party Services

The Platform integrates with or links to third-party services including but not limited to:

•Authentication: Google Sign-In, Sign in with Apple

•Payments: Stripe (payment processing)

•AI: Google Gemini API (AI chat and content generation)

•Navigation: Google Maps, Waze, Apple Maps

•Infrastructure: Supabase (database, auth, storage), Expo (mobile framework), Vercel (web hosting)

•Email: Resend (transactional email delivery)

•Hebrew Dates: Hebcal (date calculation)

Your use of these services is governed by their respective terms of service and privacy policies. KAHAL is not responsible for the content, availability, practices, or policies of any third-party service. Third-party service outages or changes may temporarily affect Platform functionality.

17. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy. Our Privacy Policy is accessible within the Platform and at https://kahal.app/legal/privacy.

18. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

•The Platform will be uninterrupted, error-free, or secure

•Any defects or errors will be corrected

•The Platform or its servers are free of viruses or other harmful components

•The Platform will meet your requirements or expectations

•Any content or information obtained through the Platform will be accurate or reliable

KAHAL does not control or endorse any User Content. We are not responsible for the accuracy, completeness, legality, or appropriateness of any User Content posted by users. KAHAL does not endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Platform.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAHAL GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

•Indirect, incidental, special, consequential, or punitive damages

•Loss of profits, revenue, data, or goodwill

•Personal injury or property damage resulting from your use of the Platform

•Unauthorized access to or alteration of your transmissions or data

•Conduct or content of any third party on the Platform

•Any interaction between users of the Platform, including but not limited to babysitting arrangements, ride shares, payment transactions, event attendance, or any other arrangement

•Any harm resulting from photos uploaded to Simcha Cam or other Platform features

•Any loss resulting from reliance on AI-generated content

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if KAHAL has been advised of the possibility of such damages.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability, so some of the above limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless KAHAL GROUP LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

•Your use of the Platform

•Your User Content, including photos uploaded to Simcha Cam

•Your violation of these Terms

•Your violation of any third-party right, including any intellectual property or privacy right

•Any arrangement, transaction, or interaction you enter into through the Platform, including babysitting, ride sharing, payments, or event attendance

•Your use of AI features and any actions taken based on AI-generated content

21. Account Deletion and Termination

Account Deletion by You

You may request account deletion at any time from within the Platform through the account settings screen. Account deletion requests are subject to a 30-day grace period during which you may cancel the deletion request and restore your account. After the grace period, your personal data will be permanently deleted or anonymized, except where we are required to retain certain information by law or for legitimate business purposes (such as records of financial transactions, abuse reports, or legal disputes).

Termination by KAHAL

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms, conduct we deem harmful to the community, or prolonged inactivity.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 4, 15, 18, 19, 20, 22, and 23.

22. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions.

Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us at support@kahal.app. We will try to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Passaic County, New Jersey. You and KAHAL each waive any right to a jury trial.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST KAHAL.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm. Small claims court actions are also exempt from arbitration.

23. Apple App Store Terms

If you access the Platform through a mobile application downloaded from the Apple App Store, the following additional terms apply:

•These Terms are between you and KAHAL GROUP LLC only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Platform or its content.

•The license granted to you is limited to a non-transferable license to use the Platform on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms of Service.

•KAHAL GROUP LLC, not Apple, is solely responsible for the Platform, including any product warranties, whether express or implied by law. In the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Platform.

•KAHAL GROUP LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the Platform or your possession and/or use of the Platform, including but not limited to: (i) product liability claims; (ii) any claim that the Platform fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

•In the event of any third-party claim that the Platform or your possession and use of the Platform infringes that third party's intellectual property rights, KAHAL GROUP LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.

•You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

•Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

•You must comply with applicable third-party terms of agreement when using the Platform (e.g., your wireless data service agreement).

24. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the "Effective Date" at the top. For material changes, we will provide notice within the Platform or by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.

25. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and KAHAL regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may freely assign our rights.

Force Majeure: We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or third-party service failures.

Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
